Terms of Service
Effective: September 4, 2025
Scope & engagement
We work on a package or project basis. Scope, deliverables, timeline, and fees are defined in the contract or statement of work (SOW). Any change require mutual written approval.
Communication & cadence
- Response time: within 1 business day (Mon–Fri).
- Meetings: weekly working session (Partner may include additional touchpoints).
- Channels: in-person visits, email, and scheduled calls; async updates via shared docs.
Deliverables & ownership
You own the content for all deliverables upon full payment. We retain rights to our pre-existing tools, methods, and templates; you receive a license to use embedded materials as part of the deliverables.
Fees, invoicing, and taxes
Transparent pricing is fixed per package unless otherwise noted. Invoices are due upon receipt (or as stated in the contract or SOW). Client is responsible for applicable taxes unless exempt.
Cancellations & refunds
Local Digital Marketing: Media runs in monthly cycles. Cancel with 14-day notice to stop the next cycle. Cancellations are non-refundable after they have started running. Included promotional bundles are not cash-refundable; we will extend runs or credit equivalent value if inventory is constrained.
Local digital marketing specifics
- Inventory: placements are subject to availability; we’ll confirm venues before launch.
- Creative: 15-second or 30-second loops set on repeat through agreed upon locations. One refresh/month included in most packages.
- Reporting: monthly snapshot with estimated impressions and recommendations based on package purchased.
- Content policy: venue-safe content only; regulated categories may require review.
Confidentiality
Both parties will protect confidential information and use it only for the engagement.
Publicity
We won’t use your name or logo without written permission. Anonymized case studies may be used unless prohibited by agreement.
Warranties & liability
Services are provided “as is.” To the maximum extent permitted by law, each party’s liability is limited to fees paid or payable in the three (3) months preceding the claim. Neither party is liable for indirect or consequential damages.
Governing law
These terms are governed by the laws of your principal place of business unless otherwise agreed in the contract or SOW.
